1. Acceptance of Terms

By accessing or using the FieldOps platform and related services (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, in which case “you” refers to the organization.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update these Terms at any time; continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

2. Description of Service

FieldOps is a field operations management platform designed to help organizations coordinate jobs, projects, personnel, documentation, and related workflows. The Service includes web-based interfaces, APIs, file storage, and communication tools made available under a subscription or trial arrangement.

3. Account Registration

To access the Service, you must create an account with accurate, complete, and current information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to terminate accounts that violate these Terms.

Accounts are created and managed within organizations. Organization administrators are responsible for managing user access, roles, and permissions within their organization.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to other accounts or systems
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use automated means to scrape, mine, or extract data from the Service
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service for any fraudulent or deceptive purpose

We reserve the right to suspend or terminate access for violations of these acceptable use requirements without prior notice.

5. Your Content

You retain ownership of all content, data, files, and information you upload to or create within the Service (“Your Content”). By using the Service, you grant FieldOps a limited, non-exclusive license to store, process, and transmit Your Content solely as necessary to provide the Service to you.

You are solely responsible for the accuracy, legality, and appropriateness of Your Content. You represent that you have all rights necessary to upload Your Content and that doing so does not infringe any third-party rights.

6. Intellectual Property

All intellectual property rights in the Service, including software, design, trademarks, and documentation, are owned by FieldOps or our licensors. These Terms do not grant you any ownership rights in the Service. Any feedback, suggestions, or improvements you provide may be used by us without restriction or compensation.

7. Subscriptions and Payment

Access to certain features of the Service may require a paid subscription. Subscription fees are billed in advance on a recurring basis according to the plan you select. All fees are non-refundable except as expressly stated in our refund policy or required by applicable law.

We may change subscription pricing upon reasonable notice. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIELDOPS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRIOR TO THE CLAIM OR (B) ONE HUNDRED DOLLARS (USD $100).

10. Indemnification

You agree to indemnify, defend, and hold harmless FieldOps and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, or your violation of these Terms.

11. Termination

Either party may terminate these Terms at any time. Upon termination, your right to access the Service ceases immediately. We may retain Your Content for a reasonable period after termination to allow for data export; after that period, content may be permanently deleted. Sections that by their nature should survive termination will survive, including sections on intellectual property, disclaimers, limitations of liability, and governing law.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with applicable law, without regard to conflict-of-law principles. Any dispute arising under these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction.

13. Miscellaneous

These Terms, together with our Privacy Policy and any applicable order forms, constitute the entire agreement between you and FieldOps regarding the Service. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision does not constitute a waiver of that right.
